These Terms & Conditions (the "Terms") govern your access to and use of the Nimbli marketing website at nimbli.ca (the "Site"), operated by Blue Ocean Ventures Inc ("Nimbli", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to the marketing Site only. Your use of the Nimbli product and platform is governed by a separate written agreement between your organization and Nimbli, and nothing on this Site forms part of that agreement or creates any binding commitment to provide the product.

1. Use of the Site

The Site is provided for general informational purposes about Nimbli and its products. You may use the Site only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that anyone who accesses the Site through your connection is aware of and complies with these Terms.

When using the Site, you agree that you will not:

• Use the Site in any way that breaches any applicable law or regulation, or that is fraudulent or has any unlawful or harmful purpose;

The "Nimbli" name and logo are trademarks of Blue Ocean Ventures Inc. Except as expressly permitted, you may not use, reproduce, modify, distribute, or create derivative works from any content on the Site without our prior written consent. Nothing in these Terms grants you any right or license to any of our intellectual property.

4. Third-Party Links

The Site may contain links to third-party websites or resources that are not operated by us. We provide these links for convenience only and are not responsible for the content, accuracy, or practices of any third-party site. Accessing third-party sites is at your own risk and subject to their terms and policies.

5. Disclaimers

The Site and all content on it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

You agree to indemnify and hold harmless Nimbli and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms or your misuse of the Site.

8. Changes to the Site and Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of the Site after any change takes effect constitutes your acceptance of the revised Terms.

9. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or the Site are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, subject to any mandatory rights you may have under applicable consumer-protection law.
